Introduction
This Terms of Service Agreement (the “Agreement”) is a legally binding contract between you (“User”) and Pro Homesteader (“Company,” “we,” “us,” or “our”). This Agreement governs your access to and use of the Pro Homesteader platform, website, and any associated websites, subdomains, software, tools, and services (collectively, the “Services”).
By accessing, registering for, or using the Services in any manner, you: (a) acknowledge that you have read and understood this Agreement; (b) represent that you have the authority to enter into this Agreement; and (c) expressly and unconditionally agree to be bound by all terms and conditions set forth herein, effective immediately upon your first use.
Definitions
Client means any entity using the Company’s services.
Services means lead generation, routing, call handling, software access, and related services as detailed in applicable service agreements or insertion orders.
Leads means marketing targets, call data, inquiry data, or related records provided to the Client.
Qualified Leads means Leads that meet the predefined criteria specified in the applicable service agreement or insertion order.
Insertion Order means a document detailing campaign criteria, pricing, budget terms, and related commercial terms.
Payment and Financial Terms
1. Payments and billing cycle.
a) Billing Cycle. The Company bills Clients on a weekly cycle running from Sunday through Saturday.
b) Invoicing and Payment Schedule. All invoices are due upon receipt and are considered past due if not paid within one (1) day of the invoice date.
c) Late Fees. Past due invoices will incur a late fee of 2% per month (24% APR), or the maximum interest rate permitted by applicable law, whichever is lower.
d) Automatic Payment Authorization. By using the Pro Homesteader platform or related Services, you explicitly authorize Pro Homesteader to automatically charge the payment method on file for invoices that remain unpaid for ten (10) days or more past the invoice date.
e) Strict No-Chargeback Policy. You irrevocably agree not to initiate a chargeback or payment reversal for any leads or services rendered and received as billable. Initiating a chargeback for services already delivered constitutes a material breach of this Agreement.
f) Chargebacks Are Prohibited and May Constitute Fraud. You acknowledge that receiving lead data, calls, or related services and then attempting to reclaim the funds via chargeback without a legitimate legal basis may constitute fraudulent conduct. The Company may vigorously dispute all chargebacks and provide supporting records to your financial institution.
g) Mandatory Alternative Dispute Resolution for Billing Issues. If you have any concern regarding the quality, validity, or nature of leads received, including call quality or compliance issues, you must not initiate a chargeback. Instead, you must contact our compliance team at contact@prohomesteader.com within ten (10) days of lead delivery so that we may investigate and work toward a good-faith resolution.
h) Acknowledgement. By using the platform and purchasing leads or services, you expressly agree to these payment terms, including the no-chargeback policy and mandatory dispute resolution process.
2. Collections. If payment remains overdue for more than ten (10) days, the Company may initiate collections procedures. Client is responsible for all costs associated with collection efforts, including reasonable attorneys’ fees and legal expenses.
3. Prepayment Campaigns. Clients may pre-load funds into their accounts for designated campaigns. These prepaid amounts are used exclusively for leads earmarked for that Client and may be treated as exclusive inventory. Prepaid funds are non-refundable, do not accrue interest, and are not FDIC insured. By participating in Prepayment Campaigns, you agree not to request a chargeback or refund through any payment processor for funds used to purchase leads. If you believe calls or leads failed to meet agreed standards, you may submit the matter to contact@prohomesteader.com for review. If appropriate, the Company may issue account credits in its sole discretion. Refunds are not provided under this arrangement.
4. Auto-Replenish Account. Clients may opt into automatic replenishment when account balances drop below a selected threshold. Clients may configure both the threshold and replenishment amount.
5. Pricing and Payment for Services. Lead pricing is dynamic and may vary based on criteria, targeting, supply, and market demand. Applicable prices are automatically applied and deducted from the Client’s account balance as transactions occur.
Access and Use
a) Provision of Access. Subject to compliance with this Agreement, the Company grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to use the Pro Homesteader platform for internal business purposes through authorized users.
b) Documentation License. You are granted a non-exclusive, non-transferable license to use platform documentation for internal business purposes.
c) Use Restrictions. You may not copy, modify, create derivative works of, rent, sell, sublicense, reverse engineer, misuse, or interfere with the Pro Homesteader platform or its functionality.
d) Aggregated Statistics and De-Identified Data. The Company may collect and use aggregated and anonymized data to improve products and services and may retain de-identified data for lawful purposes.
e) Artificial Intelligence Use. User Data may be used in anonymized form for machine learning and product improvement, provided that such use is not intended to make legally significant decisions about any individual.
f) Reservation of Rights and Suspension. The Company retains all rights not expressly granted and may suspend access to the Pro Homesteader platform where necessary for security, operational, legal, or compliance reasons.
Termination
a) Conditions for Termination. This Agreement may terminate immediately if related agreements granting platform usage rights end. The Company may also terminate this Agreement in its discretion, with or without notice.
b) Discretionary Termination. The Company reserves the right to terminate access to any part of the Pro Homesteader platform or its entirety at any time.
c) Access Restriction. The Company may alter, suspend, or discontinue any aspect of the Pro Homesteader platform without liability.
d) Survival. Any provisions intended to survive termination, including payment obligations, confidentiality, indemnification, and dispute-related provisions, will remain in effect.
Compliance
The parties acknowledge that the Telephone Consumer Protection Act (TCPA) and its implementing regulations establish strict rules governing telemarketing, including the use of automated dialing systems, prerecorded voices, and SMS text messages.
User Obligation. As a material condition of using the platform, all Users must independently ensure that their marketing campaigns, call lists, and practices are fully compliant with the TCPA and all other applicable laws. Users are solely responsible for violations arising from their use of the platform or their data.
AI Agent Service
Service Description. Pro Homesteader offers an internal AI Agent service that may act as an independent verification filter on inbound calls to maximize lead quality for buyers.
Agreement to Pay. By electing to use the AI Agent service, Buyer agrees to pay for all minutes used by AI Agents on applicable campaigns.
Fee Structure. Buyer shall be billed at a rate of $1.00 USD per minute.
Billing Calculation. Usage is calculated from the moment the AI Agent answers an inbound call until the session ends. All minutes are rounded up to the nearest whole minute.
Payment Obligation. Charges for AI Agent usage are earned as the service is rendered and are due under the standard billing cycle in this Agreement.
Non-Refundable Service. All fees for AI Agent minutes are non-refundable and non-creditable, regardless of outcome, including low-quality calls, misdials, duplicate calls, or calls that do not result in a qualified lead.
Confidentiality
Each party may disclose Confidential Information while performing under this Agreement. “Confidential Information” means non-public information identified as confidential or that reasonably should be understood as confidential, including but not limited to leads, customer relationships, technical data, methods, financial data, supplier lists, drafts, non-published advertisements, and the terms of this Agreement.
Confidential Information does not include information that is independently developed without access to the other party’s Confidential Information, becomes public through no breach of this Agreement, or is rightfully received from a third party authorized to disclose it.
The receiving party will use at least reasonable care, and no less than the care it uses for its own confidential information, to protect Confidential Information. Disclosure is limited to personnel and service providers with a need to know and who are bound by confidentiality obligations. Confidential Information remains protected for the longer of three (3) years after disclosure or, for trade secrets, as long as such information remains a trade secret under applicable law. Upon termination, or earlier upon request, the receiving party shall return or destroy Confidential Information as requested, subject to ordinary backup and legal retention practices.
Lead Tracking
To enable Client to track Leads and their disposition, Pro Homesteader may provide Client with access to Pro Homesteader’s systems or may transmit data into a system designated by Client, as specified in the applicable Insertion Order.
Lead Exclusivity
All leads sold through the Pro Homesteader platform are considered billable assets. Upon payment by the buyer, ownership of those leads transfers to the buyer, subject to applicable agreements. Pro Homesteader and the originating publisher agree not to share, resell, or otherwise distribute the contact information of sold leads to third parties for a minimum of 180 days.
Traffic Quality Policy
Publishers must not generate calls or leads using non-compliant methods, including incentivized traffic, false advertising, misrepresentation, or fraudulent methods such as autodialing, spoofing, or prerecorded voice simulation. All traffic must originate from users with a legitimate, organic interest in the advertiser’s services.
Reporting
Client will provide a disposition report to Pro Homesteader within twenty-four (24) hours of lead purchase, unless otherwise stated in a separate written agreement.
Modifications
Right to Modify. The Company may modify this Agreement at any time, with changes effective upon posting.
Responsibility to Review. You are responsible for reviewing changes. Continued use of the Services after posting constitutes acceptance of the modified Agreement.
Export Regulation
The Pro Homesteader platform may include software or technology subject to export controls. You agree to comply with all applicable U.S. export laws and regulations, including obtaining any required governmental approvals.
U.S. Government Rights
The software and documentation are “commercial items” provided with only those rights granted under applicable federal law.
Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Arizona. Legal proceedings related to this Agreement must be brought in Arizona, subject to the arbitration provision below where applicable.
Miscellaneous
Any dispute arising out of or relating to this Agreement will be finally resolved by binding arbitration before a single arbitrator under the commercial arbitration rules of the American Arbitration Association then in effect. The place of arbitration shall be Maricopa County, Arizona. The arbitrator must have experience with commercial transactions and shall have no authority to issue any ruling inconsistent with this Agreement.
Neither party may make a public announcement regarding the existence or content of this Agreement without the other party’s prior written approval, not to be unreasonably withheld. Notices under this Agreement shall be sent by nationally recognized express delivery service to the applicable notice address and are deemed given upon receipt. Any waiver of breach or default does not waive any later breach or default.
By utilizing the software platform provided by Pro Homesteader for the purpose of selling or purchasing traffic, calls, data, and related products or services, all individuals and entities acknowledge that Pro Homesteader operates solely as a media software platform and does not engage in outbound calling or direct consumer telephone contact. The Company bears no responsibility for disputes arising from products or services independently sold or purchased through the platform by third-party publishers or buyers.
If any provision of this Agreement is found invalid, illegal, or unenforceable, that provision will be severed and replaced with a valid provision that most closely reflects the parties’ original intent, and the remaining provisions will remain in full force and effect.

Customer Responsibilities
Acceptable Use. You must use the Pro Homesteader platform in compliance with all applicable laws and regulations.
Account Management. You are responsible for all activities under your account and for safeguarding account credentials.
Intellectual Property and Feedback
The Company retains all rights, title, and interest in and to the Pro Homesteader platform and Services. Any feedback you provide may be used by the Company without restriction or compensation.
Representations and Warranties
Each party represents and warrants that: (a) it will comply with all applicable laws in performing under this Agreement; (b) it has the right, power, and authority to enter into this Agreement and perform its obligations; and (c) it is duly organized, validly existing, and in good standing in its jurisdiction of organization and in the United States, where applicable. Except as expressly stated, Services are provided “AS IS” and without warranties of any kind.
SMS Messaging Terms
By providing your phone number and opting in during account registration or account security setup, you agree to receive SMS messages from Pro Homesteader for account authentication and security verification purposes only. These messages may include one-time passcodes required for login and account protection.
Message frequency varies based on user-initiated login or verification activity. Message and data rates may apply according to your carrier plan. You may opt out by replying STOP. For assistance, reply HELP or contact support@prohomesteader.com. SMS messages are not used for marketing or promotional purposes.
Indemnification
Each party (the “Indemnitor”) agrees to defend, indemnify, and hold harmless Pro Homesteader and its affiliates (the “Indemnitees”) from and against any and all third-party claims, actions, liabilities, losses, damages, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) the Indemnitor’s alleged or actual violation of applicable law or regulation, including the TCPA; (b) the Indemnitor’s use of the Pro Homesteader platform or any User Data; or (c) any breach or alleged breach of this Agreement by the Indemnitor.
Acknowledgement
By using the Company’s platforms, websites, or Services, you confirm that you have read, understood, and agree to be bound by this Agreement.
